Public Offer Agreement

This document is an official offer (offer) from LLC "VLD-GRUP" (hereinafter referred to as the Seller) to conclude a contract for the sale of goods at a distance through the website vldparts-oil.com.ua (hereinafter referred to as the Site) on the terms set out below. The acceptance of this offer (acceptance) is carried out by placing an order on the Site.

1. General Provisions

1.1. This agreement is public according to Articles 633 and 641 of the Civil Code of Ukraine.
1.2. The Seller reserves the right to make changes to this Agreement without prior notice. Changes take effect from the moment they are published on the Site.
1.3. By using the Site's services, the Buyer confirms that they are familiar with and agree to the terms of this Agreement.

2. Subject of the Agreement

2.1. The Seller undertakes to transfer the ownership of the goods selected on the Site to the Buyer, and the Buyer agrees to pay for and accept the goods under the terms of this Agreement.
2.2. The Agreement is considered concluded at the moment the Buyer places the order and receives confirmation of its acceptance from the Seller.

3. Order Placement Procedure

3.1. The Buyer places an order for goods via the functionality of the Site or through other contact methods provided on the Site.
3.2. To place an order, the Buyer must provide accurate and reliable information necessary for order fulfillment.
3.3. The Seller is not responsible for failing to fulfill the order if incorrect information is provided by the Buyer.

4. Price of Goods and Payment Procedure

4.1. The price of the goods is indicated on the Site in Ukrainian Hryvnias, US Dollars, and Euros.
4.2. The Buyer can make payment using one of the methods offered by the Seller:

• bank transfer with VAT;
• bank transfer without VAT;
• cash on delivery;
• cash payment.

4.3. Payment is considered complete when the funds are credited to the Seller's account.

5. Goods Delivery

5.1. Delivery is carried out by the transport companies "Nova Poshta," "Delivery," "Gunsel," "Ukrposhta," or by the Seller's own transport for wholesale orders.
5.2. The delivery time depends on the chosen transport company and the delivery region.
5.3. The risk of accidental damage or loss of the goods passes to the Buyer once the goods are handed over to the transport company.

6. Return of Goods

6.1. The Buyer has the right to return the goods within 14 days from the moment of receipt, in accordance with the Law of Ukraine "On Protection of Consumer Rights."
6.2. A return is possible if the goods have not been used, have retained their commercial appearance, completeness, and consumer properties.
6.3. To return the goods, the Buyer must provide a document confirming the purchase.

7. Warranties and Liability of the Parties

7.1. The Seller guarantees that the goods correspond to the declared characteristics.
7.2. In case of defects in the goods, the Buyer has the right to exchange or return them according to current Ukrainian legislation.
7.3. The Seller is not responsible for:

• improper use of the goods by the Buyer;
• delivery delays caused by the transport companies.

8. Personal Data

8.1. The Buyer's personal data is processed according to the Privacy Policy published on the Site.
8.2. By placing an order, the Buyer agrees to the processing of their personal data for the purpose of fulfilling the terms of this Agreement.

9. Dispute Resolution

9.1. All disputes and disagreements that may arise from this Agreement are resolved through negotiations between the Parties.
9.2. If it is impossible to resolve the dispute through negotiations, it shall be considered in court in accordance with Ukrainian legislation.

This Agreement comes into effect from the moment it is accepted by the Buyer.
